2. About these Terms

2.1 These Terms form a binding agreement between you and LOGIC OCTAVE LTD, trading as VidSparks, for access to https://vidsparks.com, user accounts, Token Packs, generation tools, downloadable results and associated support. By creating an account, buying Tokens or starting a generation request, you confirm that you have read and accepted these Terms and the policies incorporated by reference.

2.2 The Service is supplied as a digital service. It does not include physical media, shipping, professional film production, legal clearance, advertising approval or human editorial review unless a separate written order expressly states otherwise. Product pages and checkout disclosures form part of the contract for the relevant purchase where they provide more specific pack quantities, generation parameters or usage limits.

2.3 These Terms apply to consumers and business users. A consumer keeps every right that cannot lawfully be excluded. A business user confirms that the person accepting these Terms has authority to bind the organisation and that internal procurement or approval requirements do not alter the payment obligations shown at checkout.

3. Definitions

3.1 Account means the registered profile through which a user accesses the Service. Digital Content means Tokens, generated videos, previews, files and other electronically supplied material. Generation Request means an instruction submitted to an available artificial intelligence model using text, images, audio, reference media or settings selected by the user.

3.2 Token means a non-transferable contractual unit used only to obtain eligible processing within the Service. Token Pack means a one-time purchase of a fixed or user-selected quantity of Tokens. Output means content produced in response to a Generation Request. Input means prompts, uploads, reference materials, instructions and metadata supplied by or for a user.

3.3 Service includes the website, account dashboard, checkout, generation interface, storage made available through the account, support channels and related software. PSP means an authorised third-party payment service provider or acquiring partner used to process a payment. Policies means the Privacy Policy, Cookie Policy, Refund Policy, Payment Policy, Cancellation Policy, Digital Product Fulfilment Policy and Acceptable Use Policy.

4. Eligibility and account use

4.1 You must be at least 18 years old and legally capable of entering into the contract and authorising payment. The Service is not directed to children. You may not create an account for a person who lacks legal capacity or allow a minor to use your payment instrument or account credentials.

4.2 Registration details must be accurate, current and complete. You are responsible for keeping credentials confidential, enabling available security controls and promptly reporting suspected compromise. Activity performed through the Account is treated as authorised unless the evidence indicates account takeover, payment fraud or another security event that you reported without unreasonable delay.

4.3 One person or organisation may maintain only the number of Accounts reasonably required for legitimate use. Creating multiple Accounts to obtain promotional Tokens, avoid restrictions, obscure payment activity or bypass enforcement is prohibited. We may request verification where account, location, device or payment information presents a material risk.

5. Scope of licence and permitted use

5.1 Subject to payment, compliance and any plan-specific terms, VidSparks grants you a limited, revocable, non-exclusive and non-transferable right to access the Service and use its interface for lawful creative and commercial projects. The licence concerns access to the Service; it does not transfer ownership of the platform, software, models, documentation or branding.

5.2 You may download Outputs made available to your Account and use them in projects for which you have the necessary rights. Commercial use is permitted only where the pack or checkout description does not state a narrower licence and where your Inputs, instructions and intended use comply with law, third-party rights and the Acceptable Use Policy.

5.3 You may not copy the interface, extract model weights, reverse engineer protected components, rent access, operate a competing bureau through shared credentials, resell Tokens, remove proprietary notices or represent that VidSparks endorses an Output. Any application programming interface access requires separate written terms where offered.

6. Tokens, Token Packs and Digital Content

6.1 Tokens are consumed according to the model, duration, resolution, features and settings shown before a Generation Request starts. The estimated Token cost becomes binding when the request is submitted. A successful request may consume Tokens even where the user later decides that the creative result is unsuitable, because the computational service has been performed.

6.2 Token Packs are one-time purchases and do not renew automatically. Tokens are not deposits, electronic money, cryptocurrency, gift cards or stored value. They do not earn interest and do not create a claim against safeguarded funds. A pack remains usable while the Account is active unless a clearly identified limited-duration pack states an expiry date before purchase.

6.3 Where a request fails before meaningful processing because of a verified platform error, the associated Tokens may be restored automatically or after review. Restoration is a correction of the failed service, not a cash refund. Token balances may be adjusted to correct duplication, fraud, charge reversals, refunds or manifest technical errors.

7. Purchases, billing and taxes

7.1 Prices are displayed in GBP, or another supported currency clearly displayed at checkout. The checkout states the total payable amount and any tax, conversion or provider charge known to us before you submit payment. Your bank or payment provider may apply separate foreign exchange, cross-border or card fees under its own contract with you.

7.2 Card statements are expected to show the descriptor VIDSPARKS or a recognisable variation that may include the PSP name. You must review the checkout summary, pack quantity, currency and billing details before authorisation. A payment is not complete merely because an authorisation hold appears; it is complete when the PSP confirms successful capture or settlement.

7.3 You authorise the PSP to process the amount shown and to perform fraud, authentication and regulatory checks. We may reject, delay or reverse a transaction where required by law, sanctions screening, security controls, card-network rules, an acquiring bank or a material mismatch between account and payment information.

8. Delivery of digital content

8.1 A Token Pack is normally delivered by crediting the purchased quantity to the Account after successful payment confirmation. Delivery is complete when the balance is recorded and accessible in the Account, whether or not the user immediately spends the Tokens. No physical item is dispatched and no shipping address is required for ordinary purchases.

8.2 Most credits appear promptly and ordinarily within 15 minutes. A transaction may remain pending for manual security review for up to 24 hours. Generation completion is separate from pack delivery: processing time depends on the selected model, queue, media size and safety checks, and the interface may display an estimate rather than a guaranteed deadline.

8.3 The Digital Product Fulfilment Policy explains pending, failed, duplicate and wrong-account scenarios. You must use the correct Account and keep access to the email address associated with it. Support may require payment confirmation, the last four digits of the payment instrument, timestamps or other proportionate evidence before moving credit between Accounts or correcting delivery.

9. No redemption, resale or cash-out

9.1 Tokens and entitlements may be used only within VidSparks for eligible Service functions. They cannot be exchanged for cash, transferred to another user, pledged, gifted, traded on a marketplace or used to pay an external person. Any purported transfer or sale is void and may lead to restriction of the relevant Accounts.

9.2 An unused Token balance has no independent real-world value and is not a financial product. Except where mandatory law or the Refund Policy requires a monetary remedy, closure of an Account extinguishes unused Tokens and access entitlements. A refund reverses or removes the corresponding Tokens and may also disable Outputs obtained from the refunded purchase where continued access would create unjust enrichment.

10. User conduct and prohibited activity

10.1 You must use the Service lawfully, honestly and in a manner that does not harm people, systems or the integrity of payment and generation processes. The Acceptable Use Policy contains the detailed rules and is incorporated into these Terms. A serious or repeated breach may result in blocked requests, content removal, Token withholding, Account suspension or termination.

10.2 Prohibited conduct includes fraud, stolen payment instruments, chargeback abuse, circumvention of safety filters, malware, scraping that degrades the Service, unauthorised automation, impersonation, deceptive deepfakes, non-consensual intimate material, sexual content involving minors, unlawful discrimination, extremist promotion, scams and infringement of privacy, publicity or intellectual property rights.

10.3 You must not generate or publish content that falsely presents a real person as making a material statement or engaging in conduct likely to cause harm without appropriate authority and clear disclosure. Satire, parody, documentary or artistic uses remain subject to law, context, platform rules and the rights of affected persons.

11. User inputs and generated outputs

11.1 You retain rights you hold in Inputs and grant VidSparks a limited licence to host, reproduce, transform and transmit them solely to operate, secure and improve the requested Service, comply with law and resolve support or abuse issues. You confirm that you have every permission needed for uploaded images, audio, voices, logos, scripts and personal data.

11.2 Subject to third-party rights and model-provider restrictions, VidSparks does not claim ownership of your Output. Artificial intelligence generation is probabilistic: Outputs may be inaccurate, similar to material generated for others, unsuitable for a particular purpose or incapable of exclusive protection. You must review an Output before publication, advertising, professional reliance or distribution.

11.3 Outputs are not legal, medical, financial, journalistic or safety advice. You are responsible for disclosures, clearances, labels, consent records, music and performer rights, product claims and compliance with the rules of any platform on which an Output is used. We may retain technical fingerprints or safety metadata needed to investigate abuse and protect the Service.

12. Intellectual property

12.1 The Service, interface, software, databases, documentation, branding, design and compilations are owned by or licensed to VidSparks and protected by intellectual property law. Except for the express access licence in section 5, no right is granted by implication, estoppel or otherwise.

12.2 You must not submit material that infringes copyright, trade marks, database rights, confidentiality, trade secrets, moral rights or personality rights. A rights holder may report a specific Output or Input through the Contact route with identification, the protected work, the location of the material and a good-faith statement. We may disable access while evaluating a sufficiently detailed notice.

12.3 Feedback about the Service may be used without restriction or payment, provided it does not include confidential material belonging to another person. VidSparks names, logos and interface elements may not be used in a way that suggests sponsorship, certification or partnership without prior written permission.

13. Updates, maintenance and changes to the Service

13.1 We may add, remove or modify models, generation parameters, Token costs, interfaces and storage features to address provider changes, security, law, capacity or product development. A displayed cost applies only when a request is submitted; later changes do not retrospectively alter a completed purchase or a completed Generation Request.

13.2 Planned maintenance may temporarily prevent account access or generation. Where reasonably practicable, material planned interruption will be announced through the website or Account. Emergency maintenance may occur without advance notice. We will use reasonable care to restore core functions, but no model or feature is guaranteed to remain available indefinitely.

13.3 If a material change makes a purchased, unused pack unusable for its stated purpose, we may provide an equivalent route, replacement Tokens or another remedy required by law. This section does not permit us to reduce statutory quality obligations or retrospectively change the essential bargain for a completed purchase.

14. Suspension, restriction and termination

14.1 We may restrict a feature or Account where reasonably necessary to prevent harm, investigate suspicious activity, protect rights, comply with law or enforce these Terms. Measures may include a generation block, payment hold, removal of content, device restriction, Token freeze or full suspension. The response will be proportionate to the seriousness and urgency of the issue.

14.2 We may terminate for serious or repeated breach, fraud, unlawful content, compromised credentials, sanctions restrictions, abusive disputes, attacks on the Service or non-payment after reversal. Where the issue can safely be corrected, we may provide notice and an opportunity to respond. Immediate action may be taken where delay would create material risk.

14.3 On closure, access ends and unused Tokens are extinguished, except to the extent a mandatory refund or other remedy applies. Data handling after closure is governed by the Privacy Policy. The Cancellation Policy explains voluntary closure, reinstatement and the distinction between ending access and requesting deletion of personal data.

15. Consumer rights and statutory protections

15.1 Nothing in these Terms limits rights that cannot lawfully be excluded. For UK consumers, digital content must meet applicable standards of description, quality and fitness, and legal remedies may include repair, replacement, price reduction or refund depending on the circumstances. The commercial rules in these Terms operate alongside those rights, not instead of them.

15.2 A consumer normally has a 14-day cancellation period for a distance contract, but the right may be lost for immediately supplied digital content where the consumer expressly requests immediate supply and acknowledges the consequence before supply begins. Checkout may therefore require that consent and acknowledgement before Tokens are credited or generation starts.

15.3 A consumer resident outside England and Wales retains any mandatory protection of the country of habitual residence that applies regardless of the governing-law clause. No provision requires a consumer to abandon a regulator complaint, card-scheme right or court remedy that applicable law makes non-waivable.

16. Refunds and billing disputes

16.1 The Refund Policy governs eligibility, evidence, timing and outcomes. In general, successfully delivered and used Tokens are not refundable merely because a user changes their mind or dislikes a subjective creative result. Qualifying cases may include non-delivery, a verified technical defect, duplicate or incorrect charge, unauthorised transaction, or another statutory remedy.

16.2 Refund requests should be sent to info@vidsparks.com within 14 calendar days of purchase for ordinary commercial review, with the Account email, transaction reference, amount, date and explanation. We acknowledge complete requests within two business days and normally decide them within ten business days. Approved funds return to the original payment method, usually within five to ten business days after processing.

16.3 Contacting VidSparks first often resolves a billing issue faster than a chargeback, but you do not waive card-network or statutory rights. If a chargeback is opened, we may provide the PSP or issuer with payment, authentication, account and fulfilment evidence. Tokens or access related to the disputed transaction may be frozen or reversed while the matter is pending.

17. Disclaimers and service availability

17.1 VidSparks provides a creative generation tool, not a guarantee of a particular artistic, commercial or legal outcome. Model behaviour, queues and provider availability can change. We do not warrant that every prompt will be accepted, that an Output will be unique, error-free or suitable for broadcast, or that third parties will permit an Output on their platforms.

17.2 We use reasonable care and skill in supplying the Service. Subject to that obligation and mandatory law, the Service is provided on an availability basis and may experience delay, interruption or moderation. You should keep independent copies of important Inputs and Outputs and avoid relying on the Service as the sole repository for business-critical material.

17.3 Third-party model providers, hosting, payment and network services may affect performance. References to a model or provider do not guarantee continued integration. We are not responsible for a user device, connection, incompatible browser, blocked email, bank decline or third-party platform rule outside our reasonable control.

18. Limitation of liability

18.1 Nothing excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, deliberate misconduct, breach of a duty that cannot lawfully be limited, or a consumer remedy that applicable law preserves. Any limitation must be interpreted only to the maximum extent permitted by law.

18.2 For consumers, VidSparks is responsible for foreseeable loss caused by breach or failure to use reasonable care and skill, but not loss that was not foreseeable when the contract was made. The Service is supplied mainly for personal and creative use; business losses are addressed separately below and consumer statutory remedies remain available.

18.3 For business users, subject to section 18.1, aggregate liability arising from a purchase is limited to the greater of the amount paid for the affected Token Pack and the amount paid during the three months preceding the event. VidSparks is not liable for indirect loss, lost profit, revenue, goodwill, opportunity or data where exclusion is legally permitted.

19. Indemnity

19.1 A business user will indemnify VidSparks against third-party claims, losses and reasonable costs arising from unlawful Inputs, infringement, deceptive use of Outputs, breach of confidentiality, payment fraud or violation of the Acceptable Use Policy, except to the extent caused by VidSparks breach or negligence. This obligation is not imposed on a consumer beyond what applicable law permits.

19.2 VidSparks will give reasonable notice of a covered claim and allow the business user to participate in the defence, provided that no settlement admitting liability or imposing obligations on VidSparks may be made without written consent. Both parties must take reasonable steps to mitigate avoidable loss.

20. Privacy, cookies and data handling

20.1 The Privacy Policy explains the personal data used for accounts, payments, security, support and generation. The Cookie Policy explains browser storage and consent choices. By using the Service, you acknowledge those notices; acknowledgement is not treated as consent where law requires a separate, freely given choice.

20.2 Full card details are handled by the PSP checkout environment and are not intended to be stored by VidSparks. We may receive transaction identifiers, status, limited card descriptors, billing location and fraud signals. Inputs and Outputs may contain personal data, so you must have a lawful basis and provide required notices to people depicted or identified.

20.3 You may exercise privacy rights through the Contact route. A request to erase data does not automatically cancel a contract, reverse a payment or remove records that must be retained for tax, fraud prevention, disputes or legal obligations. Account closure and privacy requests may be processed together where their legal effects are compatible.

21. Complaints and support

21.1 Support is available at info@vidsparks.com during Monday to Friday, 09:00-17:00 UK time, excluding public holidays. A useful request includes the Account email, approximate time, transaction or generation reference, affected model, screenshots and a concise description. Do not send full card numbers, passwords, one-time codes or highly sensitive personal data.

21.2 We aim to acknowledge complaints within two business days and provide a substantive response within ten business days. Complex security, provider or payment matters may take longer; where so, we will explain the status and next step. Complaints are considered fairly and do not affect statutory, regulatory or card-scheme rights.

22. Governing law and dispute resolution

22.1 These Terms and non-contractual obligations are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, but a consumer may also bring proceedings in the courts available under mandatory consumer law in the country of habitual residence.

22.2 Before court proceedings, the parties should make a good-faith effort to resolve the issue through the complaint route and exchange the information reasonably needed to understand the claim. This step does not shorten a legal limitation period, prevent urgent relief or require a consumer to use private arbitration.

22.3 If a provision is unlawful or unenforceable, it is modified to the minimum extent necessary or severed without affecting the remaining provisions. A delay in enforcement is not a waiver. No third party has a right to enforce these Terms except where applicable law expressly provides otherwise.

23. Changes to these Terms

23.1 We may update these Terms for legal, security, provider, operational or product reasons. The current version and effective date will be published on the website. A material change affecting ongoing Account use will be notified through the website, Account or email where reasonably practicable.

23.2 Changes do not retrospectively remove accrued rights or rewrite a completed purchase. Continued use after the effective date signifies acceptance for future use. If you do not accept a material change, you may stop using the Service and close the Account, subject to the Cancellation Policy and any mandatory remedy.

24. Contact

24.1 Legal notices, support requests, complaints, privacy requests and payment disputes may be sent to info@vidsparks.com or by post to 20 Wenlock Road, London, England, N1 7GU. Email is the preferred route because it creates a traceable reference and allows secure follow-up. Include the relevant Account email and reference number, but never include a full payment card number.

24.2 A notice is treated as received when it reaches the designated mailbox or registered office, subject to normal delivery evidence. We may reply through the verified Account email and may request identity or authority evidence where the request concerns account access, personal data, payment or rights belonging to another person.
